1. Introduction

1.1 Please read these Terms and Conditions carefully, as they contain important information about the legal agreement between you, the player, and Prosper Sports Ltd with respect to the use of PANNA and the services we provide.

1.2 By ticking the check-box when signing up to the PANNA app, you agree to the terms, which are legally binding. If you have an issue, or do not agree with the following terms, please do not open an account with PANNA or any of our services.

1.3 If you use any of our services, then you have been deemed to have understood and accepted our terms of service.

1.4 Any reference to "you", "your", "user" or "player" refers hereon to any individual who holds an account with PANNA. Any reference to "we", "our(s)", "us" or "PANNA" is in relation to Prosper Sports Ltd, a limited liability company registered in England (15742284), and our services, including but not restricted to PANNA. PANNA is a mobile app wholly owned by Prosper Sports Ltd.

1.5 PANNA is a free-to-play, social fantasy football platform.

1.6 These terms are subject to change. If any major changes are implemented, you will be notified and may be required to re-accept our terms.

1.7 We reserve the right to suspend or terminate your account following a breach of our Terms.

2. Account Registration

2.1 By registering with us, you promise that all information provided is truthful and accurate to the best of your knowledge and will update them in the "My Accounts" section in the event of any of these details being changed.

2.2 You are permitted to open only one account with us; if we identify that two or more accounts are held by the same person, we reserve the right to terminate all accounts.

2.3 Any username or password associated with your account should be kept confidential. In the event of a security breach or any other unauthorised use of your account, you must notify us immediately. Your account is personal to you and any other party is not permitted access or use the app on your behalf.

2.4 Our Privacy Policy outlines the personal data we collect about you and highlights what we do with this data.

2.5 We are not liable for any loss that you may incur as a result of an unauthorised party accessing your account. We accept no liability resulting from the unauthorised use of your account, be it fraudulent or otherwise.

3. Your Account

3.1 Each transaction carried out on our platform is recorded. For further details see your account history within the platform.

3.2 You must not use our services for any purpose that can be classed as defamatory, abusive, obscene, unlawful, of a racist nature, sexist or other discriminatory nature which could cause offence. If you engage in any behaviour prohibited under this clause then we reserve the right to close your account immediately.

3.3 Our services are for your personal use. Any commercial use of our services by you is not permitted unless we give you permission to do so.

4. Closure, Suspension and Termination of Accounts

4.1 We reserve the right to suspend or close your account at any time for any reason set out in these terms and conditions. In addition, any violation of our services or service rules shall be deemed a breach of this agreement.

4.2 You have the right to close your account at any time. Once your account has been deleted, you cannot get it back.

4.3 Failure to comply with any of our terms and conditions, game rules or privacy policy constitutes a material breach of agreement between us for the use of the services and may result in us carrying out all or any of the following actions:

  • 4.3.1 Immediate, temporary or permanent removal of your right to use our platform.
  • 4.3.2 Immediate, temporary or permanent removal of any posting or material uploaded by you to the platform.
  • 4.3.3 Disqualification from an active game.
  • 4.3.4 Issue of a warning to you.
  • 4.3.5 Disclosure of information to law enforcement authorities or third-party complainants as we reasonably feel is necessary or required.
  • 4.3.6 Disclosure of your identity to any third-party who is claiming that any material posted or uploaded by you to our platform constitutes a violation of their intellectual property rights, rights to privacy or other legal rights.

4.4 The actions described above are not limited and we may take any other action we reasonably deem necessary.

5. Games and Gameplay

5.1 All games on PANNA are free to play. There are no entry fees, no real-money prize pots and no payouts.

5.2 Prizes, where offered, are awarded at our discretion and are non-transferable.

5.3 See the specific game rules for more information on how each game mode works.

5.4 We reserve the right to alter, suspend or remove any of our services at any time, without prior notice.

6. In-app Messaging Service

6.1 You agree to the use of PANNA's in-app messaging service purely for lawful purposes. You are prohibited from:

  • 6.1.1 Using the service in any ways that violate, misappropriate, or infringe the rights of PANNA, our users, or others, including privacy, publicity, intellectual property, or other proprietary rights.
  • 6.1.2 Transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libellous, hateful, or racially, ethnically, or otherwise objectionable.
  • 6.1.3 Instigating or encouraging conduct that would be illegal or otherwise inappropriate, such as promoting violent crimes, endangering or exploiting others, or coordinating harm.
  • 6.1.4 Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • 6.1.5 Engaging in any activity that disrupts or interferes with the service.
  • 6.1.6 Using the service for any commercial purpose without our prior written consent.

6.2 PANNA may use both automated processing techniques and human review teams to detect and review information available to us including account, group, and community profile information, as well as reported messages for potential violations of these guidelines.

6.3 In the event of any violation of these terms, we reserve the right to temporarily or permanently suspend an account on our service.

7. Dealing with Errors, IT Failures and Bugs

7.1 We do not guarantee that our service will be free from bugs or viruses. If you become aware of an error on any of our systems, you should inform us as soon as reasonably possible.

7.2 Continued exploitation of an error in our system may result in your account being suspended or terminated.

7.3 We reserve the right to void entire games, individual entrants and game outcomes where we deem it appropriate and in the collective best interest of the players in the league.

8. Intellectual Property Rights

8.1 All text, design, graphics, music, sound, imagery, video, the selection and arrangement thereof, software, underlying source code and all other material contained or forming part of our mobile application and our website, including all intellectual property rights in the name "PANNA", logos, designs, trademarks and other distinctive features of the brand are subject to copyright and other proprietary rights which are either owned by us or used by us under licence agreement from third-party rights owners.

8.2 You must not copy, store, publish, rent, licence, sell, distribute, alter, add to, delete, remove or tamper with any part of our mobile application or website, or any part of it that includes intellectual property rights affixed to the mobile application or website, any proprietary software comprising the mobile application or website and any software made available for download without our prior written consent.

8.3 Under no circumstances will the use of our mobile application or our website grant you any interest in intellectual property rights owned by us or owned by any of our third-parties.

9. Our Liability

9.1 You agree that your use of the services we provide is at your own risk and we accept no responsibility and shall not be liable for any consequences that are alleged to have occurred through your use, or misuse of the services provided by us.

9.2 We will not be liable for any customer, any loss or damage, whether in contract, tort, breach of statutory duty or otherwise, even if foreseeable, arising under or in connection with:

  • 9.2.1 Use of, or inability to use, our services.
  • 9.2.2 Use of, or reliance on any content displayed via our services.
  • 9.2.3 Failure of any equipment or software, wherever located or administered, or whether under our direct control or not, that may prevent the operation of our services or prevent you from being able to contact us.
  • 9.2.4 Loss of profits, sales, business, or revenue.
  • 9.2.5 Business interruption.
  • 9.2.6 Loss of anticipated savings.
  • 9.2.7 Loss of business opportunities, goodwill or reputation.
  • 9.2.8 Any indirect or consequential loss or damage.

9.3 Nothing in these terms and conditions shall exclude or restrict our liability for death or personal injury resulting from our negligence, for fraud or where the exclusion or restriction is precluded by applicable law.

9.4 We will not be liable for any loss or damage caused by a virus, distributed denial of service attack, or any other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material to your use of our services or to your downloading of any content on it or on any website linked to it.

9.5 We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

9.6 Nothing in these terms and conditions shall affect your statutory rights.

10. Assignment

10.1 You may not assign or transfer any of your rights or obligations under these terms and conditions. We may at any time and in our sole discretion assign or transfer any of our rights or obligations under these terms and conditions to any member of our group (which means our subsidiaries, our ultimate holding company and its subsidiaries) and/or to any third-party in conjunction with the transfer of all or part of our business and assets. We will inform you of any transfer and assignment of a contract, whether in full or in part, on the platform and will require you to indicate that you accept the transfer and/or assignment before you continue to use our services.

11. Waiver

11.1 If we fail to insist that you perform any of your obligations under these terms and conditions, or if we do not enforce our rights against you, or delay in doing so, that will not mean that we have waived our rights against you and does not mean that you do not have to comply with these terms and conditions. If we do waive a default by you, we will only do so in writing, and that will not mean that we will waive any later default by you.

12. Indemnity

12.1 You agree to hold us and our subsidiaries, affiliates, officers, directors, agents and employees harmless from any liabilities, claims, losses, or damages (including legal fees), caused as a result of your negligence or other fault, that may arise as a result of, or in correlation with any inappropriate or unauthorised use of our services by you or by anyone else using your account, or breach of any of the terms and conditions stated.

13. Linking to our services

13.1 You may link to our services, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

13.2 You must not establish a link in any way that suggests to other parties that there is an association, approval or endorsement between us when none exists.

13.3 You must not establish a link to our services on any website that is not owned by you.

13.4 Our services must not be framed on any other site, nor may you create a link to any part of our site other than the home page, links to the app store or link to join or create a game.

13.5 We reserve the right to remove linking permission without notice.

14. Severance

14.1 Each of the provisions of these terms and conditions operates separately. If any provision (or part of a provision) of these terms and conditions is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in full force and effect.

15. Entire Agreement

15.1 These terms and conditions constitute the entire agreement between us and you in relation to your use of our services, and supersedes all prior agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to its subject matter.

16. Third Parties

16.1 Where our software contains links and resources to external sources provided by third parties, these are provided for informational purposes only. We do not have control over any of the content shown on any third party resource.

16.2 Except where explicitly stated, these terms and conditions are between you and us. They are not intended to give rights to any third party beneficiary. No third-party will have the rights to enforce any provision of these terms.

17. Mobile Marketing Terms And Conditions

The PANNA mobile messaging service (the "Service") is operated by Prosper Sports Limited. ("PANNA", "we", "our" or "us"). Your use of the Service constitutes your agreement to these terms and conditions ("Mobile Marketing Terms"). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Marketing Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to our terms and conditions, you agree to receive SMS/text messages from and on behalf of PANNA through your wireless provider to the mobile number you provided. Text messages may be sent using an automatic telephone dialling system or other technology. Service-related messages may include updates, alerts, and information (e.g., account updates, game alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers.

You understand that you do not have to sign up for this program in order to use our services, and your consent is not a condition of any use of PANNA's services. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details.

You may opt-out of the Service at any time. Text the single keyword command STOP to PannaSMS or click the unsubscribe link (where available) in any text message to cancel. No further messages will be sent to your mobile device, unless initiated by you. For Service support email support@panna-app.uk.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honouring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number. To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
