Terms and Conditions
1. Introduction
1.1 Please read these Terms and Conditions carefully, as they contain important information about the legal agreement between you, the player, and Prosper Ltd with respect to the use of PANNA and the services we provide.
1.2 By ticking the check-box when signing up to the PANNA app, you agree to the terms, which are legally binding. If you have an issue, or do not agree with the following terms, please do not open an account with PANNA or any of our services.
1.3 If you use any of our services, then you have been deemed to have understood and accepted our terms of service.
1.4 Any reference to “you”, “your”, “user” or “player” refers hereon to any individual who holds an account with PANNA. Any reference to “we”, “our(s)”, “us” or “PANNA” is in relation to Prosper Sports Ltd, a limited liability company registered in England (15742284), and our services, including but not restricted to PANNA. PANNA is a mobile app wholly owned by Prosper Sports Ltd.
1.5 PANNA is regulated and licensed by the UK Gambling Commission, account number 13375. For more information, please refer to https://www.gamblingcommission.gov.uk/.
1.6 These terms are subject to change to ensure ongoing compliance with relevant laws and regulatory requirements. If any major changes are implemented, you will be notified and may be required to re-accept our terms.
1.7 We reserve the right to suspend or terminate your account following a breach of our Terms.

2. Account Registration
2.1 In order to open an account with us, you must be 18 years of age or older. It is illegal for anyone below the age of 18 to use our platform. If we discover that you are under the age of 18 at any point, we reserve the right to deactivate your account and all active entries up until that point will be voided, including any winnings in your account.
2.2 By registering with us, you promise that all information provided is truthful and accurate to the best of your knowledge and will update them in the “My Accounts” section in the event of any of these details being changed.
2.3 You are permitted to open only one account with us; if we identify that two or more accounts are held by the same person, we reserve the right to terminate all accounts and any outstanding wagers.
2.4 In order to be permitted to gamble, you must complete our identity verification process before depositing funds into your account.
2.4.1 We make use of a third-party agency to assist with our identity verification process. If they are unable to verify your identity through their ID record check, you will be required to email us a copy of your identification document (e.g. passport, drivers licence or any other government issued ID), along with a selfie, to verification@panna-app.uk for manual verification.
2.5 Any username or password associated with your account should be kept confidential. In the event of a security breach or any other unauthorised use of your account, you must notify us immediately. Your account is personal to you and any other party is not permitted access or use the app on your behalf.
2.6 Our Privacy Policy outlines the personal data we collect about you and highlights what we do with this data.
2.7 We are not liable for any loss that you may incur as a result of an unauthorised party accessing your account. It is your sole responsibility to protect your account from being used by anyone under the age of 18. We accept no liability resulting from the unauthorised use of your account, be it fraudulent or otherwise.
3. Your Account
3.1 Customer funds are held entirely separately from company funds in a customer account separated from our normal, day-to-day business accounts. We are required by our licence to inform customers about what happens to funds which we hold on account for you in the event of insolvency. For more information, please see: Protecting Customer Funds. Monies deposited with us are held in accounts separate from our company funds. These funds are not protected in the event of insolvency.
3.2 You agree not to charge-back, reverse or otherwise cancel any deposits made into your account. If you chargeback any deposited funds, you will be eliminated from our platform. We may also close your account and terminate our relationship with you if you persistently breach our conditions. If you have any credit balance with us then you agree that we are entitled to deduct any associated costs e.g. bank charges from your account.
3.3 Each transaction carried out on our platform is recorded. For further details see the banking section, accessed via “My Account” within the platform.
3.4 It is your responsibility to account to the relevant tax authorities with respect to any taxation which may apply to your betting activity on our platform.
3.5 To participate with our services, you need to send money to us. We use third-party electronic payment processors to process all financial transactions. You authorise us to instruct our third-party payment processors to handle deposits and withdrawals from your account and agree that we may give instructions on your behalf in accordance with your requests or as a result of your activity with us.
3.6 You must not use our services for any purpose that can be classed as defamatory, abusive, obscene, unlawful, of a racist nature, sexist or other discriminatory nature which could cause offence. If you engage in any behaviour prohibited under this clause 3.6 then we reserve the right to close your account immediately.
3.7 Our services are for your personal use. Any commercial use of our services by you is not permitted unless we give you permission to do so.
4. Deposits and Withdrawals
4.1 All accounts are opened and transacted in Pound Sterling only.
4.2 Deposits and withdrawals can be made only by using debit cards registered to your name and address. You must be the rightful owner of money used to make deposits. We use third party payment service providers to store your card details and process payment made through the App.
4.3 Due to administrative costs, the minimum amount you can deposit into your account is £5.00 and the minimum you can withdraw from your account in any single transaction is £20.00.
4.4 Withdrawals from your account will be processed immediately but the money can take up to 3-5 working days to reach your bank account, depending on the processing times of your bank or card holder.
4.5 Please note that your bank can take up to 5 working days to return withdrawals to your debit card. Our preferred method of payment is to return funds directly to the debit card which was used to deposit previously.
4.6 In relation to anti-money laundering regulations, we have the right to raise queries in relation to the source of customer funds placed on deposit. You agree to assist us with any additional due diligence request made by providing the information requested promptly. Further information that may be required includes evidence of how your account is funded, proof of your earnings etc. For example, if you are trying to deposit over £2,500 in any single transaction then we may put a stop on the transaction until we have obtained further information from you about the source of your funds. We may suspend or terminate your account and pass on your information to the necessary regulatory authorities.
4.7 Our anti-money laundering regulatory obligations require us to perform further due diligence checks on customer withdrawals over certain threshold amounts, if this has not been covered at deposit.
4.8 Any queries with regards to our services should be directed to info@panna-app.uk. We will make every effort to resolve the matter in a mutually satisfactory manner.
4.9 If we suspect that you may have cheated or where there is suspicion around the integrity of behaviour then we may withhold payment of winnings pending the outcome of an investigation into the matter.
5. Closure, Suspension and Termination of Accounts
5.1 We reserve the right to suspend or close your account at any time for any reason set out in these terms and conditions. In addition, any violation of our services or service rules shall be deemed a breach of this agreement.
5.2 You have the right to close your account at any time. Once your account has been deleted, you cannot get it back. This means that if you have outstanding bets, these shall be forfeited and you will not receive any of the relevant outstanding monies.
5.3 Failure to comply with any of our terms and conditions, game rules or privacy policy constitutes a material breach of agreement between us for the use of the services and may result in us carrying out all or any of the following actions:
5.3.1 Immediate, temporary or permanent withdrawal of your right to use our platform.
5.3.2 Immediate, temporary or permanent removal of any posting or material uploaded by you to the platform.
5.3.3 Disqualification from an active bet and cancellation of your right to claim any winnings.
5.3.4 Issue of a warning to you.
5.3.5 Disclosure of information to law enforcement authorities or third-party complainants as we reasonably feel is necessary or required.
5.3.6 Disclosure of your identity to any third-party who is claiming that any material posted or uploaded by you to our platform constitutes a violation of their intellectual property rights, rights to privacy or other legal rights.
5.4 The actions described in 5.3 are not limited and we may take any other action we reasonably deem necessary.
6. Entry Fees and Prize Money
6.1 Entry fees and the allocation of prize winnings vary depending on the game type, number of entrants and the rules set by the creator of the game. See the specific game rules for more information on payout structures.
6.2 The chance of winning depends on several factors, including the number of participants, the number of rounds, the rules of the competition, and the skill level of the participants.
6.2.1 Depending on your choices made within the "last man standing" game, your chance of winning increases as more players are eliminated. The more gameweeks you progress through, the more likely it is that you can win the prize pot, less the PANNA admin fee (5% of the league pot in that round for private leagues, and 10% of the league pot in that round for public leagues). Example: If there are 100 participants at the beginning of round 1 in "last man standing" round in X league, and by week 5, only 10 participants remain, your chance of winning has significantly increased compared to the beginning. As players get eliminated each week based on their selections, your odds improve. The final prize pot you compete for will have the admin fee deducted, so if the pot is £1,000 in a public league, you will compete for £900 after the 10% admin fee is taken.
6.2.2 The only possible prizes from the use of PANNA are either the total prize pot, or an equal share of the prize pot, depending on the game rules set by the “captain” during league creation. This prize pot is proportional to the number of players in the league, for example a league with a £10 buy-in consisting of 20 players amounts to a total pot of £200 and with 50 players the pot equals £500.
6.2.3 If you are successful in winning a round, you will be notified in-app and your winning funds will be settled into your account.
6.2.4 You will be notified in-app if at any stage we alter the prize(s) on offer and receive an email regarding information about the changes made.
6.3 We reserve the right to decline the whole or part of any entry fee that you may attempt to pay to use our platform.
6.4 It is your responsibility to ensure that you understand the entry fee amount that will be taken from your account and that you have sufficient funds available in your account before you commit to paying the entry fee.
6.5 Entry fees that have already been paid to join or create a game are non-refundable. Once you have agreed to join or create a game you cannot ask for your entry fee to be returned.
6.6 If any player initiates a charge-back, reversal or otherwise cancels their payment of their entry fees contrary to clause 2.3 then the total prize pool in respect of that pot will be reduced by the amount of that player’s entry fee. We will not charge our administration fee on any entry fees that have been removed from the prize pot.
6.7 If we have reason to believe that a series of entry fees paid by separate customers in respect of the same pot have been paid by or for the same individual or syndicate of individuals, we reserve the right to void all entry fees and without the payment of any winnings, pending the outcome of an investigation into the matter.
6.8 We reserve the right to alter, suspend or remove any of our services at any time, without prior notice.
6.9 If you win the LMS league, we will pay you the total league pot (“Winnings”), less our Game fee (“Game Fee”). The Game Fee is deducted from your Winnings, so the amount you receive from us will be less than the total Winnings collected from you and your participating Team members.
6.10 We aim to initiate payment of your Winnings (less our non-refundable Game Fee and any taxes in respect of the Game Fee) to you within three working days of the completion of the Event, but this will not always be possible. The time it takes for you to receive the Winnings (less our non-refundable Game Fee and any taxes in respect of the Game Fee) may vary depending on our method of payment.
6.11 We may change your Game Fee at any time on the provision of notice to you in writing, by email or through your use of the App, save that no changes to our Game Fee will be applied in respect of a Game in progress at the time the change takes effect. Your continued use of the App following notice of such change shall be deemed to be your acceptance of the new Game Fee.
6.12 If you do not agree with the changes to the Game Fee, we advise against joining any other leagues on our app.
7. In-app Messaging Service
7.1 You agree to the use of PANNA’s in-app messaging service purely for lawful purposes. You are prohibited from:
7.1.1 Using the service in any ways that violate, misappropriate, or infringe the rights of PANNA, our users, or others, including privacy, publicity, intellectual property, or other proprietary rights.
7.1.2 Transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libellous, hateful, or racially, ethnically, or otherwise objectionable.
7.1.3 Instigating or encouraging conduct that would be illegal or otherwise inappropriate, such as promoting violent crimes, endangering or exploiting others, or coordinating harm.
7.1.4 Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
7.1.5 Engaging in any activity that disrupts or interferes with the service.
7.1.6 Using the service for any commercial purpose without our prior written consent.
7.2 PANNA may use both automated processing techniques and human review teams to detect and review information available to us including account, group, and community profile information, as well as reported messages for potential violations of these guidelines.
7.3 In the event of any violation of these terms, we reserve the right to temporarily or permanently suspend an account on our service.
8. Dealing with Errors, IT Failures and Bugs
8.1 We do not guarantee that our service will be free from bugs or viruses. Circumstances may arise where there is a fault or failure in one of our systems. Example circumstances could include, but are not limited to:
8.1.1 When we incorrectly make a payment to you.
8.1.2 When we incorrectly calculate the winnings for a league.
8.1.3 When we continue to accept entrants into a league past the advertised cut-off date.
8.1.4 When we continue to accept entrants into a pot past the advertised maximum entrant limit.
8.2 When an error occurs, after a period of investigation and where possible, we will act to resolve the issue in a timely manner. Example actions that could be taken include, but are not limited to:
8.2.1 Adjusting incorrectly altered balances.
8.2.2 Voiding and refunding entries to games that should not have been accessible.
8.2.3 Altering payout calculations.
8.2.4 Contacting you, when time allows, to provide you with information relating to the error and the steps that will be taken in response to it.
8.3 If you become aware of an error on any of our systems, you should inform us as soon as reasonably possible.
8.4 Continued exploitation of an error in our system may result in your account being suspended or terminated.
8.5 You agree that we shall not be liable for any money lost including loss of winnings that may arise as a result of a bug, fault or failure in our systems, or by an error made by you.
8.6 We reserve the right to void entire games, individual entrants and game outcomes where we deem it appropriate and in the collective best interest of the players in the league.
9. Intellectual Property Rights
9.1 All text, design, graphics, music, sound, imagery, video, the selection and arrangement thereof, software, underlying source code and all other material contained or forming part of our mobile application and our website, including all intellectual property rights in the name “PANNA”, logos, designs, trademarks and other distinctive features of the brand are subject to copyright and other proprietary rights which are either owned by us or used by us under licence agreement from third-party rights owners.
9.2 You must not copy, store, publish, rent, licence, sell, distribute, alter, add to, delete, remove or tamper with any part of our mobile application or website, or any part of it that includes intellectual property rights affixed to the mobile application or website, any proprietary software comprising the mobile application or website and any software made available for download without our prior written consent.
9.3 Under no circumstances will the use of our mobile application or our website grant you any interest in intellectual property rights owned by us or owned by any of our third-parties.
9.4 Subject to these terms, to the extent that any material contained within the mobile application and website may be downloaded or printed, then one copy of the downloadable material may be downloaded to a single device solely for your own personal and non-commercial use on an entertainment basis only.
10. Our Liability
10.1 By reading these terms and conditions you are agreeing that by using our services, there is a risk that you may, as well as winning money, lose money. You agree that your use of the services we provide is at your own risk and we accept no responsibility and shall not be liable for any consequences that are alleged to have occurred through your use, or misuse of the services provided by us.
10.2 You acknowledge that you have not relied on any statement, promise, representation, assurance or inducement made or given by or on behalf of us when opening an account or placing a bet.
10.3 We will not be liable for any customer, any loss or damage, whether in contract, tort, breach of statutory duty or otherwise, even if foreseeable, arising under or in connection with:
10.3.1 Use of, or inability to use, our services.
10.3.2 Use of, or reliance on any content displayed via our services.
10.3.3 Failure of any equipment or software, wherever located or administered, or whether under our direct control or not, that may prevent the operation of our services, impede services, impede the placing of bets or the acceptance of bets, or prevent you from being able to contact us.
10.3.4 Loss of profits, sales, business, or revenue.
10.3.5 Business interruption.
10.3.6 Loss of anticipated savings.
10.3.7 Loss of business opportunities, goodwill or reputation.
10.3.8 Any indirect or consequential loss or damage.
10.4 Nothing in these terms and conditions shall exclude or restrict our liability for death or personal injury resulting from our negligence, for fraud or where the exclusion or restriction is precluded by applicable law.
10.5 We will not be liable for any loss or damage caused by a virus, distributed denial of service attack, or any other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material to your use of our services or to your downloading of any content on it or on any website linked to it.
10.6 We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.
10.7 If and only to the extent that the above does not apply, the maximum liability of PANNA arising out of or relating to the services and/or the terms of use to you, whether for breach of contract, tort (including negligence), or otherwise shall be limited to the average joining fee paid by the claiming customer in the previous six months.
10.8 Nothing in these terms and conditions shall affect your statutory rights (which include, for example, that we will provide our services to a reasonable standard and within a reasonable time).
11. Assignment
11.1 You may not assign or transfer any of your rights or obligations under these terms and conditions. We may at any time and in our sole discretion assign or transfer any of our rights or obligations under these terms and conditions to any member of our group (which means our subsidiaries, our ultimate holding company and its subsidiaries) and/or to any third-party in conjunction with the transfer of all or part of our business and assets. We will inform you of any transfer and assignment of a contract, whether in full or in part, on the platform and will require you to indicate that you accept the transfer and/or assignment before you continue to use our services.
12. Waiver
12.1 If we fail to insist that you perform any of your obligations under these terms and conditions, or if we do not enforce our rights against you, or delay in doing so, that will not mean that we have waived our rights against you and does not mean that you do not have to comply with these terms and conditions. If we do waive a default by you, we will only do so in writing, and that will not mean that we will waive any later default by you.
13. Indemnity
13.1 You agree to hold us and our subsidiaries, affiliates, officers, directors, agents and employees harmless from any liabilities, claims, losses, or damages (including legal fees), caused as a result of your negligence or other fault, that may arise as a result of, or in correlation with any inappropriate or unauthorised use of our services by you or by anyone else using your account, or breach of any of the terms and conditions stated.
14. Linking to our services
14.1 You may link to our services, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
14.2 You must not establish a link in any way that suggests to other stakeholders that there is an association, approval or endorsement between us when none exists.
14.3 You must not establish a link to our services on any website that is not owned by you.
14.4 Our services must not be framed on any other site, nor may you create a link to any part of our site other than the home page, links to the app store or link to join or create a game.
14.5 We reserve the right to withdraw linking permission without notice.
15. Severance
15.1 Each of the provisions of these terms and conditions operates separately. If any provision (or part of a provision) of these terms and conditions is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in full force and effect.
16. Entire Agreement
16.1 These terms and conditions constitute the entire agreement between us and you in relation to your use of our services, and supersede all prior agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to its subject matter.
17. Third Parties
17.1 Where our software contains links and resources to external sources provided by third parties, these are provided for informational purposes only. We do not have control over any of the content shown on any third-party resource.
17.2 Except where explicitly stated, these terms and conditions are between you and us. They are not intended to give rights to any third party beneficiary. No third-party will have the rights to enforce any provision of these terms.
18. Mobile Marketing Terms And Conditions
The PANNA mobile messaging service (the “Service”) is operated by Prosper Sports Limited. (“PANNA”, “we”, “our” or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Marketing Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Marketing Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.
By consenting to our terms and conditions, you agree to receive SMS/text messages from and on behalf of PANNA through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialling system or other technology. Service-related messages may include updates, alerts, and information (e.g., account updates, betting alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., reminders, bonus offers).
You understand that you do not have to sign up for this program in order to use our services, and your consent is not a condition of any purchase or use of PANNA’s services. Your participation in this program is completely voluntary.
We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.
You may opt-out of the Service at any time. Text the single keyword command STOP to PannaSMS or click the unsubscribe link (where available) in any text message to cancel. No further messages will be sent to your mobile device, unless initiated by you. For Service support, email support@panna-app.uk. We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honouring requests made in such messages.
The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number. To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
